Job Description
Legal Counsel - Technology and Licensing
Purpose of the Role:
We're looking for a tech-savvy attorney to provide legal support for a variety of licensing and other technology transactions and related matters. In this role, you will partner closely with our IP, research, engineering, product management, supply chain teams and other supporting functions to advance Bose's technology-related initiatives. You'll provide timely and practical legal advice in a fast-paced environment, with careful balancing of risks in light of commercial and strategic goals.
Ideal candidates will have significant experience in drafting and negotiating complex technology and IP licenses and other technology transfer agreements. They will be familiar with various licensing frameworks and software-centric business models. They will have experience in assessing risk and driving results that balance minimizing risk while achieving business objectives. They will exhibit tenacity and grit in the face of challenging situations. They will be interested in the operational and execution activities of the transactions on which they work. They will have excellent attention to detail, especially in ensuring accuracy of complicated contract provisions. They will be intellectually curious, patient and practical problem solvers.
Areas of Focus:
Advise and provide thought leadership on inbound and outbound licensing and other technology transfer matters, including the optimal structuring of relationships, risk assessment and management, and dispute resolution.
Advise and counsel Bose's research team on legal matters relating to various research projects, including sponsored research engagements and co-development activities.
Draft, negotiate and review agreements relating to technology and IP licensing and transfer, as well as technical collaboration and services , securing desired business terms and legal protections.
Maintain updated knowledge of legal and regulatory developments that are relevant to global technology transactions. Understand the requirements, be capable of issue spotting, and support the business as needed to ensure compliance .
Develop and implement contract templates, playbooks and related processes to achieve efficiencies and best practices in contracting activities.
Establish and build good working relationships with internal clients and senior leaders, based on mutual trust and respect, as well as knowledge of the company's business and goals.
Experience
Juris Doctorate (J.D.) degree from an ABA accredited law school and admission to at least one U.S. state bar required
Minimum of 5 years' experience in a law firm or in-house legal department focusing on matters relating to complex technology transfer agreements and counseling
Robust experience drafting and negotiating complex, high-volume technology contracts, especially inbound and outbound technology and IP licenses
Experience advising clients on technology transfer and related IP issues
Strong familiarity with technology and software
Understanding of the workings of various licensing frameworks and business models and how they drive business outcomes
Experience managing outside counsel in multiple jurisdictions
Experience in researching and effectively communicating global regulatory requirements; ability to synthesize requirements and support the business in implementing processes to ensure compliance
Additional experience preferred, but not required: M&A experience; engineering background or similar technical training or experience
